By-Laws

AS AMENDED – October 1994

ARTICLE I – NAME

The name of this association shall be the Erie (Pennsylvania) District Golf Association.

ARTICLE II – PURPOSE

The purpose of this association shall be:

  1. to promote and preserve the best interests and the true spirit of the game of golf according to the ancient and honorable traditions set forth by the United States Golf Association,
  2. to exchange information amongst member clubs that will assist them in the management and conduct of their golf programs,
  3. to schedule and to supervise tournaments and to arrange dates so as to avoid conflict with other area tournaments or activities conducted by member clubs, and
  4. to promote, in all ways, the good fellowship of the game of golf.

ARTICLE III – MEMBERSHIP

Section 1

(A) Regular Member Clubs:

Definition – Regular membership shall be open to any organized golf club which has nine or more holes having exclusive use of a golf course, located in the Northwestern Pennsylvania, provided such club is under the direct supervision of a Board of Directors elected from its membership.

(B) Associate Member Clubs:

Definition – Associate membership shall be open to any organized golf club which has nine or more holes having exclusive use of a golf course, located in Northwestern Pennsylvania, provided such club is not under the direct supervision of a Board of Directors elected from its membership.

Section 2

Election to membership:
Any eligible golf club may be elected to regular or associate membership by a majority vote at any meeting of the Board of Governors.

ARTICLE IV – ORGANIZATION

Section 1

Board of Governors

The affairs of the Association shall be conducted by a Board of Governors consisting of the four (4) Officers of the Association, the immediate past President of the Association (ex-officio) and any other individuals appointed by the Board of Governors interested in managing the affairs of the Association.

Section 2

(A) Officers – Definition:

There shall be four (4) officers of the Association: President, Vice-President, Secretary and Treasurer, each of whom shall be elected at the October Meeting to serve a term of two (2) years. If, at the end of the two-year term, a successor has not yet been elected, the officer will continue to serve until his successor has been elected.

(B) Officers – Power and Duties:

(1) The President shall preside at all meetings of the Association and shall perform the duties inherent to his office. The President shall appoint tournament and committee chairmen as may be needed for the proper conduct of the activities of the Association.

(2) The Vice-President shall assume the responsibilities of the President in his absence.

(3) The Secretary shall keep the minutes of all meetings of the Association. He shall have charge of all correspondence and papers of the Association except such as pertains to the office of the Treasurer. He will announce the time and location of all meetings and perform all other duties normal and customary to the office of secretary.

(4) The Treasurer shall keep full and accurate accounts of all monies received by the Association, pay all proper expenses, and perform all banking services of the Association at the depository designated by the Board of Governors. He shall present at each meeting of the Board of Governors, a written report of the finances of the Association and perform all other duties inherent to the office of treasurer.

ARTICLE V – MEETINGS

Section 1

Board of Governors Meeting – Definition:
Meetings of the Board of Governors shall be held at least twice a year. Preferably, these meetings should be held in March and October. Other meetings of the Board of Governors can be called at the discretion of the officers.

Section 2

Notice of Board of Governors Meetings:
A written notice of each Board of governors Meeting shall be given to all members of the Erie District Golf Association Board of Governors at least ten (10) days prior to such meeting.

Section 3

Board of Governors:
At all meetings all members of the Board shall be entitled to one (1) vote. The President shall only be entitled to a vote in case of a tie.

Section 4

Voting by proxy:
There shall be no voting by proxy.

ARTICLE VII – QUORUM

Quorum – definition:
Any seven (7) members of the Board of Governors shall constitute a quorum at any Board of Governors meeting.

ARTICLE VIII – NOMINATIONS

Section 1

Nomination of Officers:
Nominations for officers of the Association shall be recommended every odd numbered year by a nominating committee consisting of at least three (3) but not more than five (5) members of the Board of Governors, who shall not be officers of the Association, to be appointed by the President not later than thirty (30) days prior to the Fall (October) Meeting.

Section 2

Acceptable Nominations:
All nominations submitted by the Nominating Committee will be accepted along with any nominations from the floor. Election of officers shall be held when nominations are closed.

ARTICLE IX – DUES

Each member club will be assessed annual dues payable to the Association at an amount to be determined each year by the Association. All dues shall be assessed annually as of April 1, and shall be paid within thirty (30) days of said assessment. The annual dues assessment shall constitute the entire financial responsibility of any club to the Association. Special assessments shall not be levied, nor shall any member club be required to conduct, in the name of the Association, any special event for any special fund. Failure of a member club to pay the annual assessment shall constitute forfeiture of that member clubs’ membership in the Association after a second thirty (30) day notice of payment.

ARTICLE X – OBLIGATIONS OF MEMBER CLUBS

Membership in the Association shall commit each member club to uphold the By-Laws and the Rules and Regulations of the Association and to accept all decisions of the Board of Governors acting within its jurisdiction. Failure by a member club to uphold these obligations may result in that member club being suspended or expelled by a two-thirds (2/3) vote of the Board of Governors, provided such club shall have been given reasonable notice of the problem and had an opportunity to discuss it with the Board of Governors.

ARTICLE XI – COMMITTEES

The standing committees of the Erie District Golf Association are as follows:

  1. The Archive Committee
  2. The By-Laws Committee (Includes Rules & Regulations)
  3. The Course Rating Committee
  4. The Hall of Fame Committee
  5. The Trophy Committee
  6. The Nominating Committee

ARTICLE XII – TOURNAMENTS

The Board of Governors shall determine the types and scheduling of all tournaments. All tournaments shall be played in accordance with the Rules of the United States Golf Association. Eligibility to compete in Association-sponsored tournaments shall be determined by the Board of Governors. All entries for tournaments shall be subject to approval by the respective Tournament Committee named by the President.

ARTICLE XIII – AMENDMENTS

Amendments to the By-Laws of this Association may be made at any Board of Governors Meeting by a two-thirds (2/3) vote of all votes cast, provided written notice of the proposed amendment or revision shall have been mailed to all members of the Board of Governors at least ten (10) days prior to such meeting.

ARTICLE XIV – REMOVAL FOR CAUSE

Any individual member of the organization may be suspended or expelled, for cause, by a two-thirds (2/3) vote by the Board of Governors, provided that such member of the organization has been given reasonable notice of the problem an had an opportunity to discuss it with the Board of Governors.

ARTICLE XV – DISTRIBUTION OF BY-LAWS

All regular and associate member clubs shall be provided with copies of these By-Laws of the Association.
